By visiting and using the NotaNet Web Calculator and its User Guide, the NoteWell Glossary of Industry Terms and by submitting the Request Custom Calculations to NoteWell Corporation, you are accepting the Terms of Use. You represent that you have the capacity to be bound by this Agreement, or if you are acting on behalf of a company or other entity, you have the authority to bind such company or entity.

1. Grant of Rights. NoteWell grants you the right to use the content of NotaNet Web Calculator for your business purposes other than for resale or publication in whole or in part. You may not alter the NotaNet Web Calculator routines or the results shown on the screens, downloaded or printed. The NotaNet calculations are simple and based on a limited number of input variables and features as compared to the more complex and sophisticated calculations of NoteWell’s PortoBene.

2. Copyright Protection. NoteWell, NotaNet Web Calculator screens and its User Guide, the NoteWell Glossary of Industry Terms are protected by various laws, including United States copyright law and international copyright treaties, as well as other intellectual property laws and treaties.

NoteWell, PortoBene, the PortoBene red, white, blue, and black "PB" logo, PortoMax, NotaBene, and NotaNet are trademarks of NoteWell Corporation in the USA and other countries.

Maintenance of Copyright Notices. You must not remove or alter any copyright notices on any page or copy of the NotaNet Web Calculator, its User Guide or the Notewell Glossary.

Prohibition on Modification, Reverse Engineering, Decompilation, and Disassembly. You may not make alterations or modifications, merge, adapt, reverse engineer, decompile, disassemble, create derivative works, or otherwise attempt to render source code from the NotaNet Web Calculator. If applicable law expressly permits such activity, this Agreement is automatically terminated and rights to use the NotaNet Web Calculator and its User Guide cease.

Support Services. NoteWell may provide you with support services related to the NotaNet Web Calculator

("Support Services"). Use of Support Services is governed by the NoteWell polices and programs. Any supplemental support provided to you as part of the Support Services shall be considered part of the NotaNet Web Calculator and subject to the terms and conditions of this Agreement. With respect to technical information you provide to NoteWell as part of the Support Services, NoteWell may use such information for its business purposes, including for product support and development. NoteWell will not utilize such technical information in a form that personally identifies you.

Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the NotaNet Web Calculator, its User Guide, and the NoteWell Glossary.

4. Termination. Without prejudice to any other rights, your right to use the NotaNet Web Calculator and its User Guide and the NoteWell Glossary terminates automatically if you fail to comply with the terms and conditions of this Agreement.

5. Ownership. All title and intellectual property rights in and to the NotaNet Web Calculator, including but not limited to any images, photographs, animations, video, audio, music, text, and "applets", and any copies thereof, are owned by NoteWell.

6. No Warranty and Limitations of Liability. NoteWell expressly disclaims any warranty for the NotaNet Web Calculator, its User Guide, or its Glossary. The NotaNet Web Calculator is provided "as is" without warranty of any kind either express or implied, statutory or otherwise, including, without limitation, the implied warranties of fitness for a particular purpose, merchantability, or non-infringement. The entire risk arising out of use or performance of the NotaNet Web Calculator remains with you.

In no event shall NoteWell or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the NotaNet Web Calculator, even if NoteWell has been advised of the possibility of such damages. If your state and jurisdiction does not allow the exclusion of liability, this Agreement is automatically terminated.

7. General Terms. This NoteWell Agreement is governed by the laws of the State of New York, USA. This NoteWell Agreement represents the complete agreement, supersedes any prior version, and governs your use.
